These Terms & Conditions govern your use of this website and any related custom development, consulting, infrastructure, debugging, maintenance, or support services offered by Ryan Rhode.
Use of the site
You agree to use the site only for lawful purposes and in a way that does not disrupt the site, compromise security, interfere with other users, or attempt to gain unauthorized access to systems, accounts, or data.
Project inquiries and service requests
Submitting a contact form, placing a prepaid development order, or discussing a project does not create a partnership, employment relationship, or guaranteed acceptance of work. Work begins only when the request is accepted and any required payment or arrangements are confirmed.
Prepaid development time
Where services are sold as prepaid time blocks, you are authorizing a defined amount of paid implementation time rather than an unlimited-scope engagement. If the work requires more time than originally purchased, additional time may be quoted or authorized separately.
Client responsibilities
- Provide accurate information and timely project details.
- Maintain lawful rights to any content, credentials, code, data, or systems you ask to be worked on.
- Keep your own backups unless backup handling is explicitly part of the engagement.
- Review deliverables, questions, or requests for approval within a reasonable time.
Payments, refunds, and scope
Payment terms may vary by engagement. Unless otherwise agreed in writing, prepaid time is applied to the requested work as performed. Refunds are not promised for completed time or reserved work, but issues will be handled fairly if work is declined before meaningful delivery or later found to be outside practical capability.
Intellectual property
Each party retains ownership of its pre-existing intellectual property. Unless otherwise agreed, payment for custom work grants you the right to use the delivered work for the intended project, while general know-how, reusable methods, internal tooling, and pre-existing components remain the property of Ryan Rhode or the relevant licensors.
No warranty
The website is provided on an "as is" and "as available" basis. To the maximum extent permitted by law, no express or implied warranties are given regarding uninterrupted availability, merchantability, fitness for a particular purpose, or non-infringement.
Limitation of liability
To the fullest extent permitted by law, Ryan Rhode is not liable for indirect, incidental, consequential, special, or punitive damages, including lost profits, lost business, lost data, or business interruption. Total liability for any claim relating to the site or services is limited to the amount paid for the specific services giving rise to the claim.
Termination
Access to the site or services may be refused, suspended, or terminated where necessary for security, abuse prevention, non-payment, legal compliance, or operational reasons.
Governing law
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. Disputes are subject to the courts of Ontario, Canada, except where another forum is required by applicable law.
